RALLY REFERRAL PROGRAM TERMS AND CONDITIONS

These Rally Referral Program Terms and Conditions (“Terms”) describe the terms and conditions that apply to your participation (“you” or “Referrer”) in the Rally Referral Program described in these Terms (“Referral Program”). These Terms are between you and RSE Markets, Inc. (“Rally,” “we” or “us”). By posting a link (as defined below) and participating in the Referral Program, you agree to these Terms and the Rally Terms of Service and Privacy Policy (“Terms of Service”) which separately govern your use of Rally’s websites and other services. These Terms incorporate by reference the Terms of Service.Arbitration Notice: These Terms, via the Terms of Service, contain provisions that govern how claims between you and Rally will be resolved (see Section 19 of the Terms of Service for more details). Except for certain kinds of disputes, YOU AGREE THAT DISPUTES ARISING UNDER THESE TERMS WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION AND THAT YOU AND RALLY ARE EACH WAIVING THE RIGHT TO TRIAL BY JURY OR TO PARTICIPATE IN ANY CLASS ACTION OR REPRESENTATIVE PROCEEDING.
1. PROGRAM DESCRIPTION. We have established the Rewards Program to reward our users for inviting others to join the Rally platform (“Platform”). For each eligible individual that creates a new account on the Platform using your Referral Link (“Referee”), you will receive a cash prize deposited directly into your Rally account (“Cash Reward”). The current amount of the Cash Reward is available here https://rallyrd.com/referral-rewards/ . In addition, for each Referee, you will also receive an entry (“Entry”) into our random drawing to win one of several Random Prizes (as described in Section 5). NO PURCHASE NECESSARY OR REQUIREMENT THAT YOU PARTICIPATE AS A REFERRER FOR AN ENTRY.
If redeemed outside the United States, the Cash Reward will be converted to the local currency based on the current exchange rate as determined by Rally. The Referral Program is void where prohibited or where registration, bonding, local winner selection or translation required.
2. REFERRER ELIGIBILITY. You are eligible to participate in the Referral Program if you: (a) are at least 18 years old and the age of majority in your jurisdiction of residence; (b) are a resident of the United States; and (c) are not a current or former employee, contractor, affiliate, or partner of Rally (or any of their immediate family or household). To be a Referrer, you must have a valid registered user account on the Platform (“Account”) and have passed Rally’s KYC process conducted prior to funding your Account.
You represent, warrant, and covenant that (a) you are eligible to participate in the Referral Program; (b) you have not previously been suspended or banned from participating in the Referral Program or the Platform; and (c) your participation in the Referral Program is in compliance with all applicable laws and regulations, as described in Section 3 below.
3. REFERRER REQUIREMENTS AND RESTRICTIONS. Each Account has a custom, unique hyperlink that allows Rally to track the Referees referred by that Account (“Referral Link”). Your use of your Referral Link, and participation in the Referral Program, are subject to the following:
(a) You may post your Referral Link on your own social media pages and websites owned by you, but you may not post or distribute your Referral Link on or in connection with: (i) other people’s or organization’s websites, social media pages, channels or postings, or (ii) commercial websites (such as coupon websites, Reddit, or Wikipedia);
(b) You may not “spam” anyone with your Referral Link, which includes mass emailing, texting or messaging people you do not know or using automated systems or bots through any channel to distribute your Referral Link;
(c) You may not give your Referral Link to others to solicit referrals on your behalf;
(d) You may not use any domain or social media account or handle containing any Rally trademark or any confusingly similar mark, or otherwise impersonate Rally in connection with your participation in the Referral Program;
(e) You may not purchase advertising, including keyword advertising, that uses or displays any Rally trademark or confusingly similar mark in connection with your participation in the Referral Program;
(f) You may not engage in any deceptive, misleading, illegal, or unethical practices in connection with your participation in the Referral Program;
(g) You may not post your Referral Link in connection with any materials, sites or otherwise that are for an unlawful, invasive, infringing, defamatory, or fraudulent purpose, or that contain obscene or pornographic content;
(h) You may not offer any compensation or other incentives in connection with the use of your Referral Link, or use paid advertising to promote your Referral Link;
(i) You may not make any commitment, incur any obligations, or make any representations or warranties on behalf of Rally;
(j) You must comply with all applicable laws and regulations (including but not limited to anti-“SPAM” laws and FTC Guidelines on Advertising Disclosures) as well as any applicable third-party terms (including social media platforms) in connection with your participation in the Referral Program;
(k) You must make clear that you may receive incentives from Rally in connection with the use of your Referral Link; and
(l) You may not refer anyone that does not meet the Referee requirements in Section 4.
Rally reserves the right to review and investigate all referral activities. If at any time Rally suspects or determines, in its sole discretion, that you have not complied with these Terms or have otherwise abused the spirit of this Referral Program, Rally may immediately and without notice, terminate or suspend your participation in the Referral Program, void your Referral Link, and refuse to award to you any Cash Reward or Entry.
4. REFEREE REQUIREMENTS AND RESTRICTIONS. Referees who create an Account using a Referrer’s valid Referral Link are eligible to receive one Cash Award and one Entry upon first funding their Account and completing their first investment in shares of an asset on Rally (“Referee Reward”), subject to the following:
(a) Referees must not already have an Account on the Platform;
(b) Referees are entitled to only one Referee Reward, and may not cancel and re-activate their Account or create multiple Accounts to receive additional Referee Rewards; and
(c) Referees must: (i) be individuals, not entities; (ii) not represent a company or its entities, government officials, government owned or controlled entities, nor any of their employees, political parties and candidates; and (iii) not be Rally representatives, consultants, advisors, agents or employees.
Rally may block Referees from receiving a Referee Reward or creating an Account, in Rally’s sole discretion, if they show signs of already holding an Account or being otherwise ineligible under this Section 4.
5. RANDOM PRIZES; MAXIMUM ENTRIES. From time to time, Rally will hold drawings to win one of several prizes, including but books, art prints and other valuable items (each, a “Random Prize”). The list of Random Prizes is available here https://rallyrd.com/referral-rewards/ . Winners of each drawing will be selected at random from the total pool of Entries on the date of the drawing. Individuals not participating in the Referral Program may still receive an Entry by contacting Rally at referralentry@rallyrd.com. One Entry per contact of Rally, and the total number of Entries per Account regardless of method of entry will not exceed 1. If you are a winner, Rally will attempt to contact you via internal message through the Platform OR e-mail at the e-mail address under which your Account is registered. You can request winners lists by sending an email to hello@rallyrd.com. Sponsor of the drawing for the Random Prizes is Rally, 250 Lafayette St Floor 2, New York, NY 10012.
6. TAXES AND FEES. Rally will pay shipping costs for any Random Prizes awarded. In no event will Rally reimburse you for any taxes or other fees that may be imposed on Cash Rewards or Random Prizes.
7. UPDATES, CHANGES TO AND TERMINATION OF THE REFERRAL PROGRAM. Rally may at any time and in its sole discretion: (i) modify or update these Terms and make such modifications or updates available in writing, (ii) terminate Referrer’s participation in the Referral Program in its entirety, or (iii) cancel the Referral Program, including any drawings for Random Prizes.
If Rally provides you with an updated Referral Link or set of Terms, you agree to begin using, and be subjected to, such updated versions promptly. You are solely responsible for verifying that the Referral Program is still in effect, and which version of the Referral Link and these Terms applies. If Rally terminates the Referral Program, you will only be eligible to access Cash Rewards earned prior to the date of termination, and any other referrals after such date will not result in any Cash Reward or Entry.
8. DISCLAIMERS; LIMITATIONS OF LIABILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE REWARD PROGRAM AND REFERRAL LINK ARE PROVIDED “AS IS” AT YOUR OPTION AND RISK. RALLY MAKES NO WARRANTIES OF ANY KIND OR NATURE, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, RESULTS, OR THAT PARTICIPATION IN THIS REFERRAL PROGRAM WILL RESULT IN THE PAYMENT OF ANY REWARDS, AND EXPRESSLY DISCLAIMS ALL SUCH WARRANTIES. RALLY DISCLAIMS ALL RESPONSIBILITY IN CONNECTION WITH YOUR REFERRAL LINK(S) AND THE EFFICACY THEREOF, INCLUDING IF YOUR REFERRAL LINK(S) FAIL TO CORRECTLY TRACK RESERVATIONS REFERRED BY YOU. RALLY IS NOT RESPONSIBLE FOR LOST, MISDIRECTED, OR DELAYED REFERRALS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) IN NO EVENT WILL RALLY BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR SPECIAL DAMAGES OF ANY NATURE WHATSOEVER, INCLUDING LOST DATA, LOST PROFITS OR REVENUE, OR FOR ANY CLAIM OR DEMAND BY ANY THIRD PERSON, ARISING OUT OF OR RELATED TO THESE TERMS OR THE PERFORMANCE OR BREACH THEREOF, EVEN IF ADVISED OF THIS POSSIBILITY; AND (B) RALLY’S AGGREGATE TOTAL LIABILITY TO YOU UNDER THESE TERMS WILL NOT EXCEED THE AMOUNT OF ANY CASH REWARDS PAID TO YOU BY RALLY IN THE 12 MONTHS PRIOR TO THE ACTIVITY GIVING RISE TO YOUR CLAIM.
THE LAWS OF CERTAIN STATES OR OTHER JURISDICTION DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES, OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY, SOME OR ALL OF THE ABOVE DISCLAIMERS, EXCLUSIONS OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MAY HAVE RIGHTS IN ADDITION TO THOSE CONTAINED IN THESE TERMS.
9. INDEMNIFICATION. You will defend, indemnify and hold harmless Rally, its affiliates, directors, officers and employees against all liabilities, damages, losses, costs, fees (including legal fees), and expenses relating to any allegation or third-party legal proceeding to the extent arising out of: (a) your participation in the Referral Program or use of the Platform; and (b) your breach of any provision in these Terms.
10. MISCELLANEOUS.
· Any dispute or claim relating in any way to these Terms will be resolved in accordance with Section 19(g) (Governing Law; Arbitration) of the Terms of Service.
· You acknowledge and agree that it is a fundamental term and condition precedent of your participation in the Referral Program that you are not an employee, intermediary or agent of Rally, and you will not hold yourself out as, or give any person reason to believe, that you are an employee, intermediary or agent of Rally. You agree nothing in your participation will be construed as establishing an employment or agency relationship between Rally and you. Accordingly, you have not at any time been and are not entitled to, and hereby irrevocably waive any right or claim to, the benefits provided by the Rally to its employees from time to time, including vacation time, benefits, salary, bonus, stock or stock options, profit sharing, insurance, or medical and health benefits.
· Neither Cash Rewards nor Random Prizes depend on a Referee’s actual making of an investment.
· In the event of a conflict between these Terms and the Terms of Service, these Terms will prevail with respect to the Referral Program.
· Failure to enforce any provision will not constitute a waiver. If any provision is found unenforceable, the balance of the provisions will remain in full force and effect.
· In the event of any termination or expiration of these Terms, Sections 6, 7, 8, 9 and 10 will survive.
· Headings are for convenience only and are not to be considered in construing or interpreting these Terms.
